AGREEMENT TO TERMS
ARIIA AI LLC (“we,” “us,” or “our”) operates the ARIIA AI platform (the “Service”), a cloud-hosted SaaS solution for automating customer interactions, accessible at https://www.ariiaai.com/. By using the Service, you agree to these Terms and our Privacy Policy.
DEFINITIONS
- Account: A registered user profile.
- Subscription Plan: A recurring plan with fixed fees and usage limits.
- Pay-As-You-Go: Billed per minute, with usage charges deducted from your prepaid balance in real time.
- Input: Data you provide to the Service.
- Output: Data generated by the Service.
- Personal Data: Data that includes biometric information (e.g., voice cloning).
- AI Agent: Automated voice or chatbot technology used to interact with end-users.
- Call Recording: Audio or transcripts captured during calls.
- Transactional SMS: Non-promotional messages related to existing transactions (e.g., appointment confirmations, reservation confirmations, order confirmations, payment confirmations, order-ready alerts, rescheduling).
- Marketing SMS: Promotional messages advertising products, services, discounts, or sales.
- Express Written Consent: Written agreement to receive Marketing SMS (e.g., signed form, checkbox).
- Consent Laws: Federal, state, or local laws governing call recording, SMS, or biometric data.
ELIGIBILITY AND REGISTRATION
Eligibility Requirements
You must be at least 18 years old and have the legal capacity to enter into binding agreements. By using the Service, you confirm that you meet these criteria, will comply with all applicable laws, and that the Service is restricted to users 18+, with steps taken to remove underage accounts as outlined in our Privacy Policy.
Account Registration
To use the Service, you must provide accurate registration information. You are solely responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account.
United States Users
You must be located in the United States to use the Service. The Service is not intended for users outside the USA, and we do not intentionally collect or process personal data from users in other countries.
Trial Restrictions
To ensure fair access to the Service, you agree not to:
- Create multiple accounts to bypass trial limitations or eligibility requirements.
- Use disposable/temporary email addresses, virtual credit cards, VPNs, or other methods to circumvent free trial restrictions.
ARIIA AI LLC reserves the right to terminate or suspend accounts suspected of trial abuse, including but not limited to:
- Repeated sign-ups under different emails, devices, or payment methods.
- Manipulation of technical safeguards (e.g., IP masking, device spoofing).
SERVICE DESCRIPTION
Nature of the Service
ARIIA AI LLC delivers its Service as a cloud-hosted SaaS platform that uses artificial intelligence to automate customer interactions. The Service is not a telecommunications provider and does not assume liability for compliance with telecommunications laws (e.g., TCPA, FCC rules).
Service Offerings
- Subscription Plans: Provide access to the Service under recurring monthly or yearly billing with fixed fees, usage limits, and features as described on our Pricing page. Unused benefits (e.g., call minutes) do not roll over unless explicitly stated on the Pricing page.
- Pay-As-You-Go: Add funds upfront, and charges for per minute usage are deducted from your balance as you use them.
Modifications
We reserve the right to modify, suspend, or discontinue any aspect of the Service—including features, pricing, or availability—at any time.
PAYMENT TERMS
Fees and Subscription Formation
By selecting a Subscription Plan or Pay-As-You-Go option on our Website, you agree to pay the fees indicated (“Subscription Fees”). The pricing information on the Website is an invitation to submit a binding offer. A Subscription Agreement is formed only when you complete the selection process by entering your payment information via Stripe and receiving a confirmation email from ARIIA AI LLC. Payment details, including billing addresses, are handled by Stripe and subject to Stripe’s Privacy Policy. Stripe generates and sends invoices on our behalf, accessible via the Stripe Customer Portal or emailed to you.
Billing, Renewals, and Payment Methods
- Subscription Plans: Available on a monthly or yearly basis. All Subscription Plans are ongoing and auto-renew unless canceled.
- Monthly Plans: Billed monthly based on your signup date and auto-renew unless canceled at least 24 hours before the next billing cycle. If you exceed the included minutes, additional usage will be tracked in real-time and charged at the per-minute rate specified for your plan. Overage costs will be finalized at the end of each billing cycle and billed on the first day of the next billing cycle with your next subscription invoice. All charges are non-refundable unless otherwise stated.
- Yearly Plans: Billed upfront for the entire year at a 10% discount and auto-renew for another 12 months unless canceled at least 24 hours before the renewal date. If you exceed the included minutes, additional usage is charged monthly at the per-minute rate specified for your plan. The annual subscription fee remains paid for the full year, regardless of overage charges.
####All annual subscriptions are non-refundable. By purchasing a yearly plan, you acknowledge and agree that cancellations will not result in a refund, regardless of when the cancellation occurs during the 12-month term.
- Pay-As-You-Go: Add funds to your account and get charged per minute as you use the service. Usage fees are deducted from your balance in real time. You can top up anytime, and service will pause if your balance runs out.
- Payments may be made using any available method via Stripe; Stripe’s terms apply.
- If a payment fails for reasons beyond our control, you must provide an alternative payment method through Stripe.
- Receipts: A payment receipt will be emailed to you immediately after each top-up. This will include the amount added to your account and confirmation of the transaction via Stripe.
Taxes
All fees are net and exclude any applicable taxes, duties, or governmental charges (“Taxes”), which you are responsible for. If required, any Tax collected on your behalf will be invoiced separately by Stripe unless a valid tax exemption certificate is provided. ARIIA AI LLC is solely responsible for taxes on its income, property, and employees.
Trial Period, Upgrades, and Downgrades
- Trial Period: New users receive a free trial as specified on our Pricing page. If not canceled before its end, your plan will automatically convert to a paid Subscription Plan (monthly or yearly, as selected) at the prevailing fees. For yearly plans, the full annual fee is charged upon conversion.
- Pay-As-You-Go: After your trial ends, you can add funds to your account to continue using the service. Usage charges are deducted from your balance in real time based on per-minute rates
- You may upgrade your subscription at any time through your Account dashboard or by contacting support (effective immediately). Downgrades will take effect at the start of the next billing cycle or renewal period (monthly or yearly), with fees adjusted accordingly.
Fee Adjustments
ARIIA AI LLC may increase Subscription Fees with 30 days’ advance notice. This means that once the 30-day notice period has elapsed, the increased fees will apply at your next renewal, whether your plan renews monthly or annually. If you do not accept the fee increase, you may terminate the Agreement at the end of your current billing cycle.
Pay-As-You-Go rates may also be adjusted from time to time. Any changes to Pay-As-You-Go pricing will be communicated at least 30 days in advance and will take effect at the start of the billing cycle following the notice period.
ACCEPTABLE USE
Authorized Use
You may use the Service only for lawful business purposes and in compliance with these Terms, applicable laws (including state-specific privacy laws like CCPA and VCDPA), and third-party rights.
Prohibited Activities
You agree not to:
- Transmit unlawful, harassing, defamatory, or fraudulent content.
- Reverse-engineer, decompile, or otherwise attempt to derive the Service’s source code.
- Bypass security measures, introduce malware, or disrupt Service operations.
- Use the Service contrary to privacy laws (e.g., recording calls without obtaining proper consent as required by applicable laws, such as state or federal wiretapping statutes).
Compliance with AI Regulations
You acknowledge that AI-generated Output may contain inaccuracies. It is your responsibility to verify the accuracy, legality, and suitability of any Output before use or distribution.
AI Demo Usage
Purpose: The “Start a Call” demo is intended solely for the purpose of evaluating ARIIA AI’s capabilities. All scenarios presented within the demo (e.g., restaurant, retail) are fictional and do not represent real businesses offering actual services provided by ARIIA AI LLC.
- Prohibited Behavior: You agree not to:
- Leave demo calls intentionally idle.
- Misuse the feature in any way that unnecessarily consumes or wastes system resources.
- Termination Rights: ARIIA AI LLC reserves the right to limit, suspend, or terminate access to the demo feature at its sole discretion if any misuse or abuse is detected.
Call Recording & AI Disclosure Compliance
Your Responsibilities:
- Notification: You must inform customers if calls are recorded or handled by an AI Agent (e.g., “This call is handled by AI and may be recorded”).
- Consent: In states requiring all-party consent (e.g., CA, FL, WA), obtain explicit consent (verbal or written) before recording.
- Call recording is disabled by default and requires user activation.
Prohibited:
- Secretly recording calls in violation of Consent Laws.
- Using recordings for unlawful purposes (e.g., harassment, blackmail).
- ARIIA AI’s Role: We provide recording tools but do not monitor compliance.
Consent to Receive SMS Communications
- By providing your phone number and using our services, you consent to receive automated SMS messages, including verification codes and account-related notifications, from ARIIA AI. Message and data rates may apply. If you no longer wish to receive these messages, please contact our support team.
SMS Compliance
Transactional SMS (e.g., appointment confirmations, reservation confirmations, order confirmations, payment confirmations, order-ready alerts, rescheduling):
- May be sent without prior consent but includes: “Reply STOP to opt-out.”
Marketing SMS:
- Require prior Express Written Consent (e.g., signed form, checkbox on a website).
- Prohibited: Sending to numbers on the National Do-Not-Call Registry.
Opt-Out Handling:
- All SMS sent out automatically includes “Reply STOP to opt-out.”
- The Service automatically blocks numbers that reply “STOP” from future SMS.
- You agree not to circumvent this feature (e.g., re-adding blocked numbers).
INTELLECTUAL PROPERTY
- ARIIA AI LLC retains all rights, title, and interest in and to the software, algorithms, and trademarks associated with the Service.
DATA PROTECTION AND PRIVACY
Data Handling
Our Privacy Policy, incorporated by reference, explains how we collect, use, and protect personal data. You may exercise data rights, such as access or deletion, as described in our Privacy Policy, in compliance with applicable state laws (e.g., CCPA, VCDPA). By using the Service, you consent to these practices.
Biometric Data
- Biometric Data (Voice Cloning): Used solely for the voice cloning feature. You must disclose collection to end-users and obtain written consent (e.g., under Illinois BIPA). Voice cloning data is deleted within 30 days after account termination unless required for legal compliance.
- Call Recordings: You are responsible for compliance with Consent Laws (e.g., retention, consent).
- Indemnification: You agree to indemnify ARIIA AI LLC for violations.
Security
We apply industry-standard security measures to protect your data. However, ARIIA AI LLC is not liable for unauthorized access, breaches, or data loss resulting from your negligence.
SMS Data Handling
- You are responsible for SMS compliance (e.g., TCPA consent).
- ARIIA AI LLC is not liable for SMS-related violations.
THIRD-PARTY SERVICES
The Service may integrate with third-party tools (e.g., CRM systems). You are responsible for reviewing and complying with the terms and privacy policies of third-party services, such as those listed in our Privacy Policy. ARIIA AI LLC is not responsible for any issues arising from these third-party services.
TERM AND TERMINATION
Termination Rights
- By You: You may cancel your Subscription anytime via your Account dashboard.
- By Us: We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees, or engage in unlawful use.
Post-Termination
Upon termination, your access to the Service and any associated Account data will end. Data may be retained or deleted in accordance with our data retention policy outlined in the Privacy Policy.
DISCLAIMERS
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” ARIIA AI LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED, ERROR-FREE, OR SECURE OPERATION OF THE SERVICE.
LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARIIA AI LLC SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRIOR TO THE CLAIM.
INDEMNIFICATION
You agree to indemnify, defend, and hold harmless ARIIA AI LLC, its affiliates, and employees from any claims, losses, or expenses (including reasonable attorneys’ fees) arising from:
Any breach of these Terms, including but not limited to:
- Failure to notify customers or obtain consent for call recording in all-party consent states (e.g., CA, FL, WA).
- Sending Marketing SMS without Express Written Consent.
- Unauthorized use of biometric data (e.g., voice cloning without written consent).
Misuse of the Service, such as reverse-engineering, tampering with security controls, or adding marketing content to transactional SMS.
Violations of applicable laws or third-party rights, including but not limited to call recording, SMS, biometric data laws, or state-specific privacy laws (e.g., CCPA, VCDPA).
GOVERNING LAW & DISPUTES
Governing Law
- These Terms are governed by and construed in accordance with the laws of Delaware, USA, without regard to conflict-of-law principles.
Dispute Resolution
Any dispute arising from these Terms or the Service shall be resolved through binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitrator’s decision may be entered in any court having jurisdiction. You waive the right to participate in a class or representative proceeding.
MISCELLANEOUS
Force Majeure:
Force Majeure: ARIIA AI LLC is not liable for delays or failures caused by events beyond its control, including natural disasters, cyberattacks, or third-party service interruptions.
AMENDMENTS
ARIIA AI LLC reserves the right to modify these Terms in whole or in part to comply with legal or regulatory changes, enhance security, improve the Software, add features, or make technical adjustments. Any modifications will be communicated via email at least two weeks before they take effect. All amendment-related communications must be submitted in text form (e.g., email). You have the right to object to changes within two weeks of notification; absence of an objection within this period will constitute acceptance of the changes.
